By using the VestorNet platform (the "Platform"), including its website and mobile application, you acknowledge and agree to the following terms:
No Endorsement or Guarantee
VestorNet does not recommend, endorse, or guarantee the services, qualifications, or suitability of any Mortgage Broker, Mortgage Agent, Realtor, or Lender (collectively, "Professionals") you may be introduced to through the Platform. All information relating to these Professionals is provided solely for informational purposes.
Independent Relationships
Any interaction, transaction, or agreement you enter into with another user or Professional is strictly between you and that individual. VestorNet is not a party to any such arrangements and assumes no responsibility or liability arising out of or related to your engagement with another user or Professional, including but not limited to disputes, damages, or losses of any kind.
No Liability for Professional Conduct
VestorNet does not supervise, control, or verify the conduct, competence, or compliance of any Professional. Any services or advice provided by a Professional are offered independently of VestorNet. VestorNet expressly disclaims any liability related to such services or advice, including any disputes that may arise between you and a Professional.
Licensing and Regulatory Compliance
Each Professional is solely responsible for maintaining their license and complying with applicable regulatory requirements. VestorNet is not responsible if a Professional fails to renew their license or if their license is suspended, revoked, or otherwise impacted. You agree that VestorNet will bear no liability for any consequences arising from a Professional's licensing status or regulatory standing.
Document Exchange
The Platform may enable you to share or exchange documents with other users or Professionals. VestorNet does not review, verify, or guarantee the accuracy, completeness, or legality of any documents exchanged. You acknowledge and agree that VestorNet has no responsibility or liability for any issues arising from the use or reliance on these documents.
User Responsibility
You are solely responsible for conducting your own research, due diligence, or inquiries before engaging with any user or Professional. VestorNet will not be liable for any claims, demands, or damages—whether direct or indirect—that result from your interactions with or reliance on other users, including Professionals.
No Responsibility for User Disputes
VestorNet has no obligation to mediate, resolve, or become involved in any disputes between users of the Platform. You agree to release VestorNet and its affiliates from any claims or damages arising from conflicts between you and other users or Professionals.
Advertisements and Third-Party Claims
The Platform may display advertisements or promotional content posted by users or third parties. VestorNet does not represent, endorse, or guarantee the accuracy, reliability, or legitimacy of any such content. Any claims, disputes, or transactions arising from or related to advertisements or promotional content are solely between you and the advertiser. VestorNet disclaims all responsibility or liability for any losses or damages that may result from your engagement with such content or reliance on claims made by users or Professionals.
Disclaimer of Warranties
The Platform, including any information, content, or materials provided, is offered on an "as is" and "as available" basis. To the fullest extent permissible under applicable law, VestorNet disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. VestorNet makes no representations or warranties regarding the availability, accuracy, or reliability of the Platform or any Professionals listed.
Indemnification
You agree to indemnify, defend, and hold harmless VestorNet and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees and costs) arising out of or related to:
- Your use of the Platform;
- Your violation of this Disclaimer or any applicable law;
- Your violation of any rights of a third party, including other users or Professionals;
- Any activity in which you engage through the Platform.
Limitation of Liability
In no event shall VestorNet or its affiliates be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, even if advised of the possibility of such damages. VestorNet's total cumulative liability under this Disclaimer or in connection with the use of the Platform shall in no event exceed One Hundred U.S. dollars (US$100).
User-Generated Content
VestorNet does not review, monitor, or verify user-generated content, including reviews, comments, or other forms of communication posted on the Platform. We are not responsible for the accuracy, legality, or decency of such content. You agree to use caution and common sense when viewing or relying on user-generated content. VestorNet reserves the right (but not the obligation) to remove any content that violates this Disclaimer or any applicable law.
Third-Party Links and Services
The Platform may contain links to third-party websites or services that are not owned or controlled by VestorNet. VestorNet does not endorse and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that VestorNet shall not be liable for any damages arising from your use of, or reliance on, any third-party website or service.
Changes to This Disclaimer
VestorNet reserves the right to update or modify this Disclaimer at any time without prior notice. Any changes will become effective immediately upon posting the revised Disclaimer on the Platform. Your continued use of the Platform after any modifications constitutes your acceptance of the revised terms.
Governing Law and Jurisdiction
This Disclaimer and any matters arising out of or related to it shall be governed by and construed in accordance with the laws of Ontario, without regard to its conflict of law provisions. You agree that any claim or dispute you may have against VestorNet must be resolved exclusively by a court located in Ontario, unless otherwise agreed by all parties.
Arbitration
At VestorNet's sole discretion, any dispute, claim, or controversy arising out of or relating to this Disclaimer or your use of the Platform may be resolved by binding arbitration administered by the Ontario court of Justice in accordance with its commercial arbitration rules. Any judgment on the arbitration award may be entered in any court of competent jurisdiction. By agreeing to arbitration, you understand and agree that you are waiving certain rights to a trial by jury.
Severability
If any provision of this Disclaimer is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
Entire Agreement
This Disclaimer, together with any additional terms referenced herein (including our Terms of Service and Privacy Policy), constitutes the entire understanding between you and VestorNet regarding the subject matter contained herein and supersedes all prior or contemporaneous agreements, whether written or oral.
Acceptance
By using the VestorNet Platform, you acknowledge that you have read, understood, and agreed to all the terms in this Liability Disclaimer. If you do not agree to these terms, you must discontinue use of the Platform immediately.
